Lead Counsel, Commercial

ABOUT THE ROLE Scale is a leading provider of generative AI solutions, empowering the development of AI applications across industries. As a Lead Counsel, Commercial, you will play a critical role in shaping the company's commercial legal function as it scales with the business. This is an individual contributor role with significant scope and visibility, requiring a commercial attorney with expertise in negotiating complex agreements and advising on legal risk. WHAT YOU'LL DO As a Lead Counsel, Commercial, you will be responsible for drafting, reviewing, and negotiating master services agreements with Fortune 500 companies and other organizations. You will work closely with the sales, product, and engineering teams to close revenue deals and drive business growth. Your responsibilities will include: - Drafting, reviewing, and negotiating a wide range of agreements, including partnership, reseller, and vendor agreements, as well as data processing agreements - Partnering with the GTM teams to drive deals and the business forward - Serving as a trusted legal advisor and business accelerator, providing practical legal counsel to sales, product, engineering, and marketing teams - Assessing legal risk and advising the business accordingly - Designing, implementing, and iterating on policies and processes to manage legal and business risk on a global scale WHAT YOU'LL NEED To succeed in this role, you will need: - A J.D. from an accredited law school and admission to the New York State Bar in good standing - 5+ years of combined law firm and in-house experience with training in commercial agreements - Experience partnering with sales, guiding negotiation cycles, and closing high-impact revenue deals - Experience drafting and negotiating complex enterprise licensing, services, and data processing agreements - Ability to communicate clearly and concisely with business and technical audiences, effectively translating legal concepts for non-lawyers - Collaborative and low-ego approach to working across the organization, with a "roll-up-your-sleeves" attitude towards tackling novel legal issues - Deep interest in artificial intelligence, machine learning technology, generative AI, and AI applications WHY REMOTE As a remote employee, you will have the flexibility to work from anywhere, while still being part of a dynamic and innovative team. BENEFITS Scale offers a comprehensive compensation package, including base salary, equity, and benefits. The base salary range for this role is $227,200 - $284,000 USD, depending on location and experience.
