ABOUT THE ROLE Oscar Health is hiring a Corporate Paralegal to join its Corporate Counsel team. As a key member of the Corporate Legal team, this role is responsible for project managing and supporting Oscar's entity management and subsidiary governance workflows. The Corporate Paralegal will work closely with internal Oscar teams and interface with external regulators. WHAT YOU'LL DO The Corporate Paralegal will be responsible for a range of tasks, including: - Supporting the Corporate Secretary function for subsidiary board cycles by drafting agendas, meeting minutes, resolutions, and consents, and communicating with board members. - Managing Oscar's portfolio of legal entities by drafting and revising corporate documents, maintaining corporate records, tracking annual statements and other filing deadlines. - Preparing, reviewing, and filing annual and amendments to insurance holding company systems filings and managing inter-company agreements. - Serving as a subject matter expert on corporate structure and responding to audit requests related to corporate information from cross-functional teams. - Project managing special projects such as strategic transactions, entity name changes, or internal legal team projects. - Contributing to the development of internal procedural guides on entity management and subsidiary governance to support streamlined processes and retain institutional knowledge. - Ensuring compliance with all applicable laws and regulations. WHAT YOU'LL NEED To be successful in this role, you will need: - A bachelor's degree or 4 years of commensurate experience. - 2+ years of corporate paralegal experience, including entity management, corporate governance, and corporate regulatory filings. - 2+ years of experience designing and improving workflows. - Demonstrated cross-functional project management skills. - High organizational and detail-oriented skills. - High ethical standards and proven ability to maintain confidentiality of sensitive information. - Dynamic team player who thrives in a fast-paced environment. - Proficiency in MS Word, Excel, Google Suite, and Zoom. WHY REMOTE This is a fully remote position, open to candidates who reside in Arizona, Florida, Georgia, Illinois, Iowa, Kansas, Michigan, Missouri, Nebraska, New Jersey, New York, North Carolina, Ohio, Pennsylvania, South Carolina, Tennessee, Texas, and Virginia. You will be expected to work independently and manage your time effectively to meet the demands of the role.
